INSTALLATION AGREEMENT FOR MICROCEMENT

This installation agreement (“Agreement”) is made and entered into effective as of [date] by and between [Contractor Name], a [State] corporation, with its principal place of business at [Address] (“Contractor”) and [Client Name], with its principal place of business at [Address] (“Client”).

1. Purpose. Contractor shall perform the installation of microcement at the property of Client, [Address] (“Property”), in accordance with the specifications described in Exhibit A (“Specifications”).

2. Payment. Client shall pay Contractor a total sum of $[Amount] for the installation of microcement at the Property. Payment shall be made as follows: [Payment schedule].

3. Term. The installation of microcement shall be performed starting on [Start Date] and completed on or before [End Date].

4. Change Orders. Any changes to the Specifications must be agreed upon by both parties in writing prior to implementation. Any changes to the Specifications may result in additional charges and/or schedule changes.

5. Termination. Either party may terminate this Agreement at any time with written notice to the other party. Should the Agreement be terminated by Client, Client may forfeit any non-refundable deposits. Contractor shall be entitled to payment for any work completed up to the point of termination.

6. Warranties. Contractor warrants that the work performed by Contractor shall conform to the Specifications and shall be free from defects in materials and workmanship for a period of [Warranty Period] after completion. Any defects shall be corrected at Contractor’s expense during the Warranty Period.

7. Indemnification. Contractor shall indemnify and hold Client harmless against any claims, damages, losses or expenses arising in connection with the work performed by Contractor or any breach of this Agreement by Contractor.

8. Insurance. Contractor shall maintain, at Contractor’s expense, general liability insurance, workers’ compensation insurance, and any other insurance required by law or by the Owner or the Architect.

9. Governing Law and Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of the State of [State]. Any dispute arising under or in connection with this Agreement shall be resolved exclusively by the state or federal courts located in [County], [State].

EXHIBIT A

SPECIFICATIONS OF MICROCEMENT INSTALLATION

1. Scope. The microcement installation shall include the entire area of [Area to be installed] of the Property.

2. Materials. Contractor shall provide all necessary materials, equipment, and labor necessary for the installation of microcement.

3. Preparation. Prior to installation, the surface shall be cleaned, repaired and leveled as necessary. Contractor shall be responsible for any necessary preparation work.

4. Installation. The microcement shall be applied in accordance with the manufacturer’s instructions. The color of the microcement shall be [Color].

5. Finish. Contractor shall provide a smooth finish of the microcement.

6. Clean-up. Contractor shall remove all debris related to the installation of the microcement and leave the Property in a broom-clean condition.

7. Inspection and Acceptance. Upon completion of the installation, Contractor shall provide Client with an opportunity to inspect the installation. Acceptance of the installation by Client shall signify Client’s satisfaction with the work performed by Contractor.
